1. Acceptance of Terms

By accessing, browsing, or using the PropLead platform available at propleadcrm.com (the "Platform" or "Service"), including any associated mobile applications, APIs, and related services, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.

If you are entering into these Terms on behalf of a company, organization, or other legal entity ("Organization"), you represent and warrant that you have the authority to bind that Organization to these Terms, and references to "you" or "your" shall include that Organization.

If you do not agree to all of these Terms, you must not access or use the Service. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.

2. Description of Service

PropLead is a Software-as-a-Service (SaaS) customer relationship management platform purpose-built for real estate sales teams and property businesses. The Service provides the following capabilities:

  • Lead Management: Capture, organize, score, and track leads across their lifecycle from inquiry to conversion.
  • AI-Powered Lead Qualification: Automated lead scoring and qualification using artificial intelligence and large language models to prioritize high-intent prospects.
  • Multi-Channel Messaging: Integrated communication via WhatsApp Business API, SMS, and email from a unified inbox.
  • Property Management: Inventory management for properties, projects, and listings with matching capabilities.
  • Workflow Automation: Rule-based and AI-driven automation for follow-ups, task assignments, notifications, and pipeline management.
  • Analytics and Reporting: Dashboards, reports, and insights on sales performance, team productivity, and lead conversion metrics.
  • Team Collaboration: Multi-user access with role-based permissions, team hierarchies, and activity tracking.
  • API Access: RESTful APIs for integrating PropLead with your existing tools and systems (subject to plan availability).

The specific features, usage limits, and capabilities available to you depend on your selected subscription plan. PropLead reserves the right to modify, enhance, or discontinue features of the Service with reasonable notice.

3. Account Registration and Security

To access the Service, you must create an account by providing accurate, current, and complete information as prompted by the registration form. You may register using your email address and password or through a supported third-party authentication provider such as Google OAuth.

3.1 Eligibility

You must be at least 18 years of age and capable of entering into a legally binding agreement to use the Service. If you are registering on behalf of an Organization, you must be authorized to bind that Organization.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any API keys issued to your account. You agree to:

  • Use a strong, unique password for your PropLead account.
  • Not share your account credentials with any unauthorized person.
  • Notify PropLead immediately at support@propleadcrm.com if you suspect any unauthorized access to or use of your account.
  • Accept responsibility for all activities that occur under your account, whether or not authorized by you.

3.3 Organization Accounts

Organizations may create accounts and invite team members. The Organization administrator is responsible for managing user access, assigning roles, and ensuring that all users within the Organization comply with these Terms. PropLead is not liable for any internal access control decisions made by the Organization.

4. Subscription Plans and Billing

PropLead operates on a modular pricing model. Your total cost may comprise the following components:

  • Platform Fee: A recurring subscription fee (monthly or annual) that grants access to the core PropLead platform, including lead management, CRM features, workflow automation, and team collaboration tools. The features and user limits depend on your selected plan tier.
  • Messaging Credits: Usage-based charges for WhatsApp messages, SMS messages, and email communications sent through the platform. Messaging is billed based on actual consumption at published per-message rates, which vary by channel and destination.
  • AI Usage: Usage-based charges for AI-powered features, including AI lead qualification, smart responses, conversation summaries, and other AI-assisted functionalities. AI usage is billed based on actual consumption.

Subscription plans, pricing, and included usage allowances are detailed on our pricing page and may be updated from time to time. Any price changes for existing subscribers will take effect at the start of the next billing cycle following at least 30 days' notice.

Subscriptions automatically renew at the end of each billing cycle (monthly or annual) unless cancelled before the renewal date. You authorize PropLead to charge your designated payment method for all recurring fees and usage-based charges.

5. Free Trial

PropLead may offer a free trial period of fourteen (14) days for new users to evaluate the Service. During the free trial:

  • You will have access to the platform features included in the trial plan at no charge.
  • Usage limits (including messaging credits and AI usage) may be restricted during the trial period.
  • No payment information is required to start a free trial unless otherwise stated at the time of registration.
  • At the end of the trial period, your account will be downgraded or suspended unless you subscribe to a paid plan.
  • Data entered during the trial period will be retained and available if you convert to a paid subscription.

PropLead reserves the right to modify, limit, or discontinue the free trial offer at any time without prior notice. Free trials are limited to one per Organization.

6. Payment Terms

All fees are stated in Indian Rupees (INR) for customers in India and in US Dollars (USD) for international customers, unless otherwise specified on the pricing page. All fees are exclusive of applicable taxes, including GST (for India), VAT, or other local taxes, which will be added to your invoice as required by law.

6.1 Payment Processors

Payments are processed through our authorized payment partners:

  • Razorpay: For customers located in India. Razorpay supports UPI, credit cards, debit cards, net banking, and other local payment methods. Razorpay's terms of service and privacy policy apply to payment processing.
  • Paddle: For international customers outside India. Paddle acts as the Merchant of Record for international transactions and handles currency conversion, tax calculation, and compliance. Paddle's terms of service and privacy policy apply to international payment processing.

PropLead does not store your full credit card numbers, debit card numbers, or bank account details. All payment information is handled directly by our payment processors in compliance with PCI-DSS standards.

6.2 Failed Payments

If a payment fails, PropLead will attempt to charge your payment method up to three (3) additional times over a period of ten (10) days. If all payment attempts fail, your account may be downgraded or suspended until the outstanding balance is settled. You remain liable for all accrued charges, including usage-based fees incurred before suspension.

6.3 Invoices

Invoices are generated at the end of each billing cycle and made available through your account dashboard. For Indian customers, all invoices will include GST details as required under applicable tax laws.

7. Refund Policy

Refunds for PropLead subscriptions and usage charges are governed by our Refund Policy. In summary:

  • Platform subscription fees on annual plans may be eligible for prorated refunds under certain conditions.
  • Monthly subscription fees are generally non-refundable.
  • Messaging credits and AI usage charges are non-refundable as they are usage-based and consumed upon delivery.
  • Billing errors will be corrected and refunded promptly.

8. User Responsibilities

As a user of PropLead, you agree to the following responsibilities:

  • Accuracy of Data: You are responsible for the accuracy, quality, and legality of the data you input into the Service, including lead contact information, property details, and any communications sent through the platform.
  • Consent for Communications: You must obtain and maintain all necessary consents from recipients before sending messages through PropLead's messaging channels (WhatsApp, SMS, email). You are solely responsible for ensuring compliance with applicable anti-spam laws, telemarketing regulations, and messaging platform policies.
  • Compliance with Laws: You shall use the Service in compliance with all applicable local, state, national, and international laws and regulations, including but not limited to data protection laws, real estate regulations, consumer protection laws, and telecommunications laws.
  • Account Administration: Organization administrators are responsible for managing team members' access, permissions, and ensuring all users within their Organization comply with these Terms.
  • Security Practices: You must take reasonable precautions to protect your account, including using strong passwords, enabling available security features, and promptly reporting any security incidents.
  • Backup: While PropLead maintains backups as part of its infrastructure, you are encouraged to export and maintain your own copies of critical data.

9. Acceptable Use Policy

You agree not to use the Service, directly or indirectly, to:

  • Violate any applicable law, regulation, or third-party right, including intellectual property, privacy, or consumer protection rights.
  • Send unsolicited, unauthorized, or bulk messages (spam) through any messaging channel, including WhatsApp, SMS, or email.
  • Send messages that are deceptive, misleading, or fraudulent in nature.
  • Upload, transmit, or distribute any malicious code, viruses, trojans, worms, or any other harmful software or content.
  • Attempt to gain unauthorized access to the Service, other users' accounts, or any related systems or networks.
  • Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
  • Use the Service for any illegal, fraudulent, or deceptive purpose, including money laundering, phishing, or identity theft.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any portion of the Service.
  • Scrape, data-mine, or use automated tools to extract data from the Service beyond what is provided through the API.
  • Exceed your plan's usage limits through automated means or circumvent any usage restrictions.
  • Resell, sublicense, or redistribute access to the Service to third parties without written authorization from PropLead.
  • Use the Service to store or transmit content that is illegal, defamatory, harassing, threatening, or otherwise objectionable.
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity.

PropLead reserves the right to investigate and take appropriate action against any violations of this Acceptable Use Policy, including suspending or terminating your account, removing content, and reporting illegal activity to law enforcement authorities.

10. Data Ownership

Your Data Belongs to You. You retain all ownership rights in and to the data you submit, upload, or input into the Service ("Customer Data"), including but not limited to lead information, contact records, property listings, conversation histories, notes, files, and any other content you create within PropLead.

By using the Service, you grant PropLead a limited, non-exclusive, worldwide license to use, process, store, and transmit your Customer Data solely for the purpose of providing and maintaining the Service, and as otherwise described in these Terms and our Privacy Policy. This license terminates when you delete your data or close your account.

PropLead will not sell, rent, lease, or disclose your Customer Data to third parties except as described in our Privacy Policy, as necessary to provide the Service (e.g., transmitting messages through messaging providers), or as required by law.

Data Portability: You may export your Customer Data at any time using the export tools available within the Service or by contacting support. Upon termination of your account, PropLead will make your Customer Data available for export for a period of thirty (30) days, after which it will be permanently deleted.

11. Intellectual Property

The Service, including its software, code, user interface, design, graphics, logos, trademarks, documentation, AI models, algorithms, and all other proprietary technology and materials (collectively, "PropLead IP"), is owned by PropLead and is protected by intellectual property laws, including copyright, trademark, patent, and trade secret laws of India and international jurisdictions.

These Terms do not grant you any right, title, or interest in PropLead IP except for the limited right to access and use the Service in accordance with these Terms during your active subscription period.

You may not copy, modify, distribute, sell, lease, or create derivative works based on any part of the Service or PropLead IP without prior written consent from PropLead. The PropLead name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of PropLead. You may not use such marks without the prior written permission of PropLead.

11.1 Feedback

If you provide suggestions, ideas, feedback, or recommendations regarding the Service ("Feedback"), you hereby grant PropLead an unrestricted, irrevocable, perpetual, non-exclusive, royalty-free, worldwide license to use, modify, and incorporate such Feedback into the Service without any obligation or compensation to you.

12. Third-Party Services

PropLead integrates with various third-party services to provide its full range of features. By using these integrations, you acknowledge and agree to the following:

  • Twilio: Used for SMS messaging capabilities. Messages sent via SMS are transmitted through Twilio's infrastructure and are subject to Twilio's Acceptable Use Policy and terms of service.
  • SendGrid: Used for transactional and marketing email delivery. Emails sent through PropLead are processed by SendGrid, subject to their terms and policies.
  • Google (Workspace, OAuth, Maps): PropLead supports Google OAuth for authentication, Google Calendar integration, and may utilize Google Maps APIs for property-related features. Use of Google services is subject to Google's Terms of Service and Privacy Policy.
  • Meta / WhatsApp Business API: WhatsApp messaging is facilitated through the Meta WhatsApp Business API. All WhatsApp communications are subject to Meta's Business Terms, WhatsApp Business Policy, and Commerce Policy. You must comply with WhatsApp's messaging guidelines, including obtaining user opt-in before sending messages.
  • Google Gemini (AI/LLM): PropLead uses Google's Gemini large language models to power AI features such as lead qualification, smart responses, and conversation analysis. Data sent to Gemini for processing is handled in accordance with our Privacy Policy.
  • Razorpay and Paddle: Payment processing is handled by Razorpay (India) and Paddle (international), each subject to their own terms of service and privacy policies.

PropLead is not responsible for the availability, accuracy, or performance of any third-party service. Third-party services are governed by their own terms, and you are responsible for reviewing and complying with those terms. PropLead shall not be liable for any loss or damage arising from your use of or reliance on any third-party service.

13. Bring Your Own Channel (BYOC)

PropLead supports a Bring Your Own Channel (BYOC) model, which allows you to connect your own third-party messaging accounts and API credentials to the platform. This includes, but is not limited to, your own WhatsApp Business API account, Twilio account, or other supported provider accounts.

When using BYOC:

  • You are responsible for maintaining your own accounts with the third-party providers and for all associated costs, fees, and charges imposed by those providers.
  • You must ensure that your use of third-party provider accounts through PropLead complies with the respective provider's terms of service, acceptable use policies, and messaging guidelines.
  • PropLead is not responsible for any suspension, termination, or restriction of your third-party accounts arising from your messaging practices or content.
  • API credentials and authentication tokens you provide are encrypted and stored securely. PropLead will use them solely to facilitate messaging on your behalf and will not share them with any other party.
  • You acknowledge that messaging deliverability, throughput, and reliability are subject to the terms and infrastructure of the third-party provider you have connected.

14. API Usage

PropLead may provide application programming interfaces (APIs) that allow you to integrate the Service with your own applications and systems. API access is subject to your subscription plan and the following terms:

  • API Keys: You will be issued unique API keys for authentication. API keys are confidential and must not be shared publicly, embedded in client-side code, or committed to public repositories.
  • Rate Limits: API usage is subject to rate limits as specified in the API documentation for your plan tier. PropLead reserves the right to throttle or temporarily suspend API access if your usage exceeds these limits or impacts the performance of the Service for other users.
  • Fair Use: APIs must be used in a manner consistent with the intended functionality of the Service. Automated scraping, data harvesting, or abuse of APIs is prohibited.
  • Versioning: PropLead may release new API versions and deprecate older versions with reasonable notice. You are responsible for updating your integrations to supported API versions.
  • Liability: PropLead is not liable for any damages resulting from your use of the API, including data loss, integration failures, or incompatibilities with your systems.

PropLead reserves the right to modify, restrict, or revoke API access at any time for security reasons or due to violations of these Terms.

15. Service Availability and SLA

PropLead strives to maintain high availability of the Service and targets an uptime of 99.9% measured on a monthly basis, excluding scheduled maintenance windows and force majeure events.

15.1 Scheduled Maintenance

PropLead may perform scheduled maintenance during off-peak hours (typically between 12:00 AM and 5:00 AM IST on weekends). We will provide at least 48 hours' notice for planned maintenance that may result in downtime through email or in-app notifications.

15.2 Unplanned Outages

In the event of an unplanned outage, PropLead will use commercially reasonable efforts to restore the Service as quickly as possible and will communicate status updates through our status page and email notifications to affected users.

15.3 Exclusions

The uptime commitment does not apply to: (a) outages caused by factors outside PropLead's reasonable control, including internet connectivity issues, force majeure events, or third-party service failures; (b) outages resulting from your actions or the actions of your users; (c) outages caused by your equipment, software, or network connections; or (d) scheduled maintenance windows.

No Warranty of Uninterrupted Service. While PropLead endeavors to provide reliable service, the Service is provided "as is" and PropLead does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • No Indirect Damages: PropLead and its affiliates, directors, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings, arising out of or in connection with your use of, or inability to use, the Service, regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if PropLead has been advised of the possibility of such damages.
  • Aggregate Liability Cap: PropLead's total cumulative liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total amount paid by you to PropLead during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) INR 10,000 (Indian Rupees Ten Thousand).
  • Third-Party Services: PropLead shall not be liable for any loss, damage, or disruption caused by third-party services integrated with the platform, including messaging providers, payment processors, AI service providers, or cloud infrastructure providers.
  • Data Loss: While PropLead takes reasonable measures to protect your data, PropLead shall not be liable for any loss of data arising from circumstances beyond its reasonable control. You are responsible for maintaining your own backups of critical Customer Data.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, PropLead's liability shall be limited to the maximum extent permitted by law.

17. Indemnification

You agree to indemnify, defend, and hold harmless PropLead, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

  • Your use of the Service or any activity on your account.
  • Your violation of these Terms or any applicable law or regulation.
  • Your Customer Data, including any claim that your data infringes or violates any third-party right.
  • Messages sent through the Service on your behalf, including any claims of spam, harassment, or unauthorized communications.
  • Your failure to obtain necessary consents from recipients of messages sent through the platform.
  • Your use of BYOC accounts or third-party integrations connected through the Service.

PropLead reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

18. Termination

18.1 Termination by You

You may terminate your account at any time by cancelling your subscription through the billing section of your account settings or by contacting support at support@propleadcrm.com. Upon cancellation, your subscription will remain active until the end of the current billing period, and you will not be charged for subsequent periods.

18.2 Termination by PropLead

PropLead may suspend or terminate your account immediately, with or without notice, if:

  • You materially breach these Terms, including the Acceptable Use Policy.
  • You fail to pay applicable fees after reasonable notice and opportunity to cure.
  • Your use of the Service poses a security risk to PropLead or other users.
  • PropLead is required to do so by law or by a government authority.
  • Your account has been inactive for more than twelve (12) consecutive months on a free plan.

18.3 Effect of Termination

Upon termination of your account:

  • Your right to access and use the Service ceases immediately (or at the end of the billing period, if terminated by you).
  • Your Customer Data will be retained for thirty (30) days, during which you may request an export of your data.
  • After the 30-day retention period, your Customer Data will be permanently and irreversibly deleted from our systems, including backups, within ninety (90) days.
  • Any outstanding fees or usage charges incurred before termination remain due and payable.
  • Sections of these Terms that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) shall survive.

19. Modifications to Terms

PropLead reserves the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page.
  • Notify you via email to the address associated with your account at least thirty (30) days before the changes take effect.
  • Display a prominent notice within the Service.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue use of the Service and terminate your account before the changes take effect.

Non-material changes (such as formatting corrections or clarifications that do not alter the meaning of the Terms) may be made without prior notice.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.

21. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Service ("Dispute"), the parties agree to attempt to resolve the Dispute through the following process:

21.1 Informal Resolution

Before initiating any formal proceedings, you agree to contact PropLead at support@propleadcrm.com to attempt to resolve the Dispute informally. PropLead will make reasonable efforts to resolve your concern within thirty (30) days of receiving your written notice.

21.2 Mediation

If the Dispute is not resolved informally within thirty (30) days, either party may refer the Dispute to mediation administered by a mutually agreed-upon mediator in Bengaluru, Karnataka, India. The costs of mediation shall be shared equally between the parties.

21.3 Arbitration

If the Dispute is not resolved through mediation within sixty (60) days, either party may refer the Dispute to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, with the seat of arbitration in Bengaluru, Karnataka, India. The language of arbitration shall be English.

21.4 Exceptions

Nothing in this section shall prevent either party from seeking injunctive or equitable relief from a court of competent jurisdiction for matters involving intellectual property rights, confidentiality obligations, or unauthorized access to the Service.
